Corporate Governance
Micron supports the recent corporate governance initiatives of the NASDAQ Stock Market LLC and Securities and Exchange Commission. We believe that the implementation of procedures and policies that address corporate accountability, integrity, and transparency will help improve investor confidence. Our Code of Business Conduct and Ethics and Compliance Hotline emphasize the importance of these principles.
Micron's Board of Directors has a standing Audit Committee and standing Governance and Compensation committees. In October 2009, the Company filed as exhibits to its Annual Report on Form 10-K the Sarbanes-Oxley Act Section 302 certifications regarding the quality of the Company’s public disclosure.
The Board has appointed Larry Mondry to preside at executive sessions of the Board of Directors in which only non-employee directors are present. Persons wishing to communicate with the non-employee directors as a group, may email Mr. Mondry at leaddirector@micron.com.
